1. Acceptance of Terms
By accessing or using the platform, websites, and services provided by APRI Management ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these terms, please do not use our Service.
2. Eligibility and Account Registration
- Business Use: The Service is designed for business entities and professional use. By creating an account, you represent that you have the authority to bind your organization to these Terms.
- Account Security: You are responsible for maintaining the confidentiality of your login credentials. APRI Management is not liable for any loss resulting from unauthorized access to your account due to your failure to secure your password.
3. Proprietary Rights and Software License
- Ownership: The Service, including all software, UI design, specialized workflows, and intellectual property, is the exclusive property of APRI Management and its licensors.
- License: We grant you a limited, non-transferable, non-sublicensable license to use the APRI Management platform for your business operations. You may not reverse-engineer, decompile, or attempt to extract the source code of the Service.
4. User Content and Data Ownership
- Your Data: You retain full ownership of all data, leads, and content you upload to the platform ("User Content").
- License to APRI: You grant APRI Management a worldwide, royalty-free license to host, store, and process your User Content solely for the purpose of providing the Service to you.
- Responsibility: You are solely responsible for the accuracy and legality of the data you upload, including ensuring you have the necessary consent to contact your leads via SMS or Email.
5. Prohibited Use and Compliance
You agree not to use the Service for:
- Illegal Acts: Any purpose that violates local, state, or international laws.
- Spamming: Sending unsolicited messages in violation of the CAN-SPAM Act, TCPA, or GDPR.
- System Interference: Attempting to bypass security measures or overloading the infrastructure.
- Reselling: Sub-licensing or reselling access to the platform without a separate written agreement from APRI Management.
6. Fees and Payments
- Subscription: Access to the Service is provided on a subscription basis. Fees are billed in advance based on your selected plan.
- Late Payments: Failure to pay subscription fees may result in temporary suspension or permanent termination of access to your data.
- Refund Policy: Unless otherwise stated in a specific order form, all fees are non-refundable.
7. Limitation of Liability and Disclaimers
- "As-Is" Basis: The Service is provided "as is" and "as available." APRI Management makes no warranties regarding uptime, accuracy, or fitness for a particular purpose.
- Liability Cap: To the maximum extent permitted by law, APRI Management shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising from your use of the Service.
8. Termination
- By You: You may cancel your subscription at any time through your account settings.
- By Us: We reserve the right to suspend or terminate your account if you breach these Terms or if your usage poses a security risk to our platform.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.
